Online Billing – Terms & Conditions
By using Stroops’ Online Billing you agree to the terms and conditions of this Agreement. This agreement is between you or the company you represent (“You”) and Stroops. If You choose not to be bound by this Agreement, do not continue with the registration process.
Article One: Utilization and Termination: You will use Online Billing in compliance with the directions and information that Stroops provides You. Stroops reserves the right to terminate or modify this Agreement at any time for any reason. Stroops may enhance, modify, or cancel the Online Billing system at any time, without notice to You. If You fail to comply with the terms and conditions herein, this Agreement will terminate automatically without notice.
Article Two: Limitation of Online Billing Terms & Conditions: These Terms & Conditions supplement and do not supersede the Terms & Conditions relating to billing in Stroops’ Service Guides.
Article Three: Electronic Bill Presentment: You agree that invoices provided by Online Billing are suitable for your purposes, and that the information contained therein is adequate for you to make timely payments. Online Billing does not necessarily reflect all charges due and payable to Stroops at any given time. Price adjustments after creation of the invoice are not required to be shown on your Online Billing account.
Article Four: Online Bill Payment: You agree to use the payment mechanisms provided by Online Billing to pay any bill presented to you Online. Stroops in its sole discretion may change, add or delete Online Billing payment methods at any time, without notice. The “autopay” feature of Online Billing is a courtesy to You. Ultimate responsibility for ensuring timely and accurate payment is yours.
Article Five: Customer Information: You are responsible to keep up to date the information necessary to present and pay your bills online. You are required to update your email address and bank account in the Online Billing “Billing Profile” screens when they change. Failure to update this information may result in You not receiving invoice notifications timely or Stroops’ inability to process payments against your account.
Article Six: Online Billing History: Your billing and payment history will be maintained online for twelve (12) months, if:
• You remain an Online Billing customer,
• Your account with Stroops continues to have regular shipping activity,
• You maintain credit privileges with Stroops,
• Your online payments are not rejected by your bank for any reason, and
• Your Online Billing access is not revoked for any reason, including termination of this agreement by Stroops.
It is your responsibility to print copies of invoices and payment history shown online if You require them for your accounting processes. If You request from Stroops paper copies of invoices billed online, You may be charged a fee as set forth in Stroops’ Service Guides.
The Online Payment History is not “proof of payment” if a dispute arises. In the event of such a dispute, you may be required to provide bank records showing the amount, date and reference of the payment involved.
Stroops and its vendors are not liable to You if You cannot obtain an Online Billing History.
Article Seven: Invoice Adjustments and Refunds: If Online Billing generates an inaccurate invoice, Stroops will bill You for, and You agree to pay to Stroops within fifteen (15) days of the billing date, any additional amount owed. Refunds requested by You with respect to any shipment must be made in accordance with the applicable Stroops Service Guide. You will not be entitled to any refund or credit under Stroops Service Guarantee if your claim resulted from improper use of Online Billing.
Article Eight: Returned Payments: You agree that if payments are returned to Stroops by your financial institution for any reason, they will be treated as returned checks. Any fees generally associated with the handling and processing of such transactions will apply. Stroops reserves the right to discontinue your participation in Online Billing if your financial institution returns payments for any reason.
Article Nine: Security: The Online Billing system is designed to protect your data, using password protected browser security when viewing the website, and using a private key encryption method (upon your selection) to send e-mails containing invoice detail attachments. While Stroops has employed industry standard security methods, no guarantee can be made with regard to the protection of your billing data. Stroops is not liable for damages related to, or as a result of, failure of the security systems used.
Article Ten: Grant: Subject to the terms and conditions of this Agreement, Stroops grants you a non-exclusive, royalty-free, non-assignable right to use Online Billing, solely to receive invoices and remit payment via the internet for shipments tendered to STROOPS by You for carriage and for no other purpose.
Article Eleven: Copyright: STROOPS holds and retains all worldwide rights, title and interests, including, without limitation, copyright, in and to Stroops Online Billing. You may not copy, modify, translate, adapt, reproduce, decompile, reverse engineer or disassemble Stroops Online Billing.
Article Twelve: Exclusion of Liability: You use Online Billing at your own risk. Online Billing is a service that Stroops offers free of charge to its customers.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STROOPS DISCLAIMS ALL WARRANTIES, BOTH EXPRESS AND IMPLIED – INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE – WITH REGARD TO ONLINE BILLING. STROOPS DOES NOT WARRANT THAT ONLINE BILLING WILL WORK WITHOUT INTERRUPTION, OR THAT DEFECTS WILL BE CORRECTED. VERBAL OR WRITTEN INFORMATION, REPRESENTATIONS, OR ADVICE OF AN STROOPS REPRESENTATIVE SHALL NOT CREATE A WARRANTY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES –INCLUDING, BUT NOT LIMITED TO NEGLIGENCE – SHALL STROOPS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT, INDIRECT, CONSEQUENTIAL, OR OTHER DAMAGES WHATSOEVER –INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND DAMAGE TO YOUR INTERNAL COMPUTER SYSTEMS – THAT ARISE OUT OF THE USE OR INABILITY TO USE, EVEN IF STROOPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Article Thirteen: Governing Law: This agreement shall be governed by the laws of the State of Washington and the United States.
Article Fourteen: Confidentiality: Online Billing and its materials are offered as a service to Stroops customers and are proprietary and confidential. You acknowledge that You will not use such materials except in connection with internet Online Billing and that the use of Online Billing by You or a third party for the benefit of a third party is expressly prohibited.
Article Fifteen: Complete Agreement: You understand that this is the complete Agreement, in reference to Online Billing, between Stroops and You. You also understand that this Agreement supersedes any prior or contemporaneous understandings, representations, statements, or agreements, written or verbal, in reference to Online Billing. No amendment or changes to this Agreement will be binding without the express written consent of Stroops. Stroops reserves the right to alter this document at any time for any reason.
